Terms of Service

1. Agreement to Terms

By accessing or using the services provided by AIL Agency ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

2. Description of Services

AIL Agency provides AI implementation and consulting services for real estate agencies, including:

• Business audits and discovery sessions
• AI opportunity analysis and roadmap development
• Custom AI system implementation
• Training and documentation
• Ongoing optimization and support (when applicable)

3. Qualification and Application Process

Our services are provided on a selective basis. By submitting an application or participating in a qualification meeting:

• You acknowledge that acceptance is not guaranteed
• You agree to provide accurate and complete information
• You understand that we reserve the right to decline any application
• You consent to being added to a waitlist if qualified

4. Client Responsibilities

As a client, you agree to:

• Provide timely access to necessary data and personnel
• Participate in scheduled discovery and presentation meetings
• Designate appropriate internal resources for project collaboration
• Maintain the confidentiality of proprietary methodologies and materials
• Comply with all applicable laws and regulations
• Provide accurate information about your business operations

5. Payment Terms

5.1 Pricing

Pricing will be determined based on the scope of work outlined in your custom implementation roadmap and will be communicated before any engagement begins.

5.2 Free Discovery

We may offer complimentary discovery audits to qualified prospects. Participation does not obligate you to purchase services or us to accept you as a client.

5.3 Payment Schedule

Payment terms will be specified in individual service agreements. Late payments may result in suspension of services.

6. Intellectual Property

6.1 Company IP

All methodologies, frameworks, templates, and proprietary processes remain the intellectual property of AIL Agency.

6.2 Client Deliverables

Upon full payment, you will receive a license to use the custom implementations, documentation, and guides created specifically for your business.

6.3 Client Data

You retain all rights to your business data. We may use anonymized, aggregated data for improving our services and creating case studies (with your permission).

7. Confidentiality

Both parties agree to maintain the confidentiality of sensitive business information disclosed during the engagement. This obligation survives termination of the relationship.

8. Warranties and Disclaimers

8.1 Service Quality

We commit to providing services with professional skill and care. However, we do not guarantee specific results, revenue increases, or cost savings.

8.2 No Guarantee of Results

While we aim to identify valuable AI opportunities, we cannot guarantee that implementation will achieve specific business outcomes. Results depend on numerous factors, including your team's adoption and market conditions.

8.3 Technology Limitations

AI technology is evolving rapidly. We design solutions based on current best practices, but cannot guarantee systems will remain optimal as technology advances.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the amount paid for services in the preceding 12 months
• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for data loss if you fail to maintain proper backups
• We are not liable for third-party AI service failures or changes

10. Term and Termination

10.1 Project-Based Engagements

Project-based services continue until completion of agreed-upon deliverables.

10.2 Ongoing Partnerships

Ongoing support partnerships may be terminated by either party with 30 days' written notice.

10.3 Immediate Termination

We may terminate services immediately if you breach these Terms, fail to make payments, or engage in unethical behavior.

11. Compliance and Legal

You are responsible for ensuring that AI implementations comply with all applicable laws and regulations in your jurisdiction, including:

• Data protection regulations (GDPR, CCPA, etc.)
• Industry-specific compliance requirements
• Consumer protection laws
• Anti-discrimination laws

12. Indemnification

You agree to indemnify and hold harmless AIL Agency from claims arising from your use of AI systems, misuse of deliverables, or violation of applicable laws.

13. Dispute Resolution

13.1 Good Faith Negotiation

Parties agree to first attempt to resolve disputes through good faith negotiation.

13.2 Governing Law

These Terms are governed by the laws of Poland, without regard to conflict of law principles.

13.3 Arbitration

If negotiation fails, disputes shall be resolved through binding arbitration in Warsaw, Poland.

14. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond reasonable control, including natural disasters, war, terrorism, labor disputes, or governmental restrictions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of services constitutes acceptance of modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with any signed service agreements, constitute the entire agreement between you and AIL Agency regarding our services.
